Terms of Service

NOTICE: RichOuty is an AI-powered event networking and relationship intelligence platform. The Service facilitates connections between event attendees using artificial intelligence. RichOuty does not guarantee specific networking outcomes, business results, or relationship formation. By accessing or using the Service, you accept these Terms in full.
1. Acceptance and Binding Agreement
1.1. These Terms of Service ("Agreement") govern the relationship between RichOuty and its parent entity RichOut (collectively "RichOuty", "we", "us") and any individual, event organizer, enterprise, sponsor, or attendee ("User", "You") accessing or using the platform.
1.2. By using the Service, You agree to: (i) this Agreement; (ii) the Privacy Policy; (iii) the Acceptable Use Policy; (iv) the Data Processing Addendum; (v) the Security Addendum; and (vi) any applicable Order Form (collectively, "Terms"). The DPA controls on data processing matters in case of conflict.
1.3. RichOuty may update these Terms by posting revised Terms on its website. Updates are effective on posting. Continued use constitutes acceptance. RichOuty will use reasonable efforts to notify event organizers of material updates by email thirty (30) days in advance. For attendee end users, notice is provided via the platform interface.
2. Definitions
"Attendee" means any individual who participates in an event at which the Service is deployed, whether or not they have a registered RichOuty account.
"Attendee Data" means all Personal Data and profile information relating to Attendees, including name, professional role, organization, interests, goals, connection preferences, and behavioral data generated during event participation.
"Aggregated Event Intelligence" means statistical, behavioral, structural, and relational insights derived from processing Attendee Data, Event Data, and Relationship Graph Data through RichOuty's de-identification pipeline, which does not directly identify any individual Attendee or Organizer. Aggregated Event Intelligence is RichOuty Property.
"Connection Data" means records of AI-recommended connections, accepted or declined connection interactions, meeting outcomes, and follow-up signals generated during use of the Service.
"Derived Platform Data" means any data, model weight, embedding, pattern, or insight generated by RichOuty through operating, monitoring, and improving the Service, derived from usage patterns, matching signals, and AI system performance, to the extent it does not directly identify any Attendee or Organizer. Derived Platform Data is RichOuty Property.
"Event Data" means all data relating to a specific event uploaded or generated by an Organizer, including event configuration, agenda, session data, sponsor information, and registration data.
"Feedback" means ratings, corrections, and suggestions provided by Organizers or Attendees through designated Service feedback mechanisms.
"Organizer" means any entity or individual that contracts with RichOuty to deploy the Service at an event under an Order Form or Enterprise Collaboration Agreement.
"Relationship Graph" means RichOuty's proprietary AI-generated graph mapping professional relationships, connection affinities, shared interests, and engagement signals across the platform's event network. The Relationship Graph is RichOuty Property.
"Relationship Graph Data" means data contributed to or derived from the Relationship Graph, including anonymized connection patterns, affinity scores, and engagement signals across RichOuty's event network.
"RichOuty Property" means the Service, platform architecture, AI matching models, Relationship Graph, Aggregated Event Intelligence, Derived Platform Data, Usage Data, Connection Data, and all improvements and derivatives thereof.
"Service" means RichOuty's AI-powered event networking platform including the AI community host, real-time attendee matching, the KPI dashboard, Attendance Assurance Engine, sponsor matching, post-event analytics, and all related applications and integrations.
"Service Improvement Purposes" means: (i) training, fine-tuning, and evaluating RichOuty's AI matching models; (ii) building new platform features including enhanced relationship intelligence; (iii) developing the Relationship Graph; (iv) generating Aggregated Event Intelligence and Derived Platform Data; (v) security monitoring and fraud detection; (vi) internal research and development — in each case subject to the data handling framework in Section 5 and the DPA.
"Usage Data" means metadata generated during use of the Service, including feature interactions, matching acceptance rates, session engagement, platform performance metrics, and anonymized behavioral signals. Usage Data is RichOuty Property.
3. The Service — What RichOuty Does and Does Not Do
3.1. RichOuty provides an AI-powered platform that analyzes event attendee profiles, interests, and goals to generate recommended connections and facilitate pre-scheduled meetings. The Service includes real-time matching, the Attendance Assurance Engine, sponsor ROI tools, and post-event analytics.
3.2. RichOuty does not: (i) guarantee any specific networking outcome, business result, or relationship formation; (ii) verify the accuracy of attendee-provided profile information; (iii) provide introductions, brokerage, or intermediary services in any regulated sense; (iv) guarantee that AI-recommended connections will result in meetings, partnerships, or commercial outcomes.
3.3. Matching recommendations are AI-generated based on profile data and behavioral signals. RichOuty's algorithms optimize for connection relevance but cannot account for interpersonal factors outside the platform. Organizers and Attendees are solely responsible for their interactions following AI-facilitated introductions.
3.4. RichOuty is powered by RichOut's underlying AI infrastructure. Certain platform features may be provided through RichOut's technology stack. RichOut and RichOuty share data infrastructure as described in the Privacy Policy and DPA.
4. Access, Accounts, and Authorised Use
4.1. Organizers: Subject to these Terms and the applicable Order Form, RichOuty grants Organizers a limited, non-exclusive, non-transferable right to deploy and use the Service for their events during the Subscription Term.
4.2. Attendees: By registering on the platform or participating in a RichOuty-enabled event, Attendees receive a personal, non-transferable right to use the attendee-facing features of the Service at that event.
4.3. Neither Organizers nor Attendees may: (i) reverse engineer or extract source code or model architecture; (ii) scrape the platform or Relationship Graph; (iii) use the Service to build a competing product; (iv) submit false profile information; (v) harvest other Attendees' contact details outside the platform's designed connection flow; (vi) use the Service for unsolicited commercial communications; (vii) misuse connection data for purposes other than genuine professional networking.
4.4. Organizers are responsible for ensuring their Attendees are aware of and comply with these Terms and the Privacy Policy as a condition of event participation.
5. Data Rights, AI Development, and the Relationship Graph
5.1. The Commercial Bargain: RichOuty's core value proposition is the continuous improvement of its AI matching intelligence — powered by the Relationship Graph and accumulated event data across the platform network. This Section 5 sets out the data architecture that enables that improvement while providing meaningful protections for Organizers and Attendees.
5.2. Usage Data: Usage Data is RichOuty Property, generated in the operation of the platform. RichOuty may use Usage Data for any Service Improvement Purpose including AI model training without restriction.
5.3. Aggregated Event Intelligence and Derived Platform Data: RichOuty may generate Aggregated Event Intelligence and Derived Platform Data from Event Data, Attendee Data, and Connection Data. These are RichOuty Property and may be used for Service Improvement Purposes — including AI model training, Relationship Graph development, benchmarking, and commercialization — subject to: (i) RichOuty's de-identification pipeline having been applied; (ii) the resulting data not directly identifying individual Attendees or Organizers.
5.4. The Relationship Graph: The Relationship Graph is RichOuty's most strategically valuable asset. It is built from anonymized, aggregated connection signals across all events on the platform. The Relationship Graph is exclusively RichOuty Property. No Organizer or Attendee acquires any right in or to the Relationship Graph by using the Service. RichOuty may use, develop, license, and commercialize the Relationship Graph without restriction.
5.5. Raw Identifiable Attendee Data: RichOuty will not use directly identifiable Attendee Personal Data (name, email, specific employer) as raw training input for AI models without the Attendee's consent. RichOuty's use of Attendee Data for Service Improvement Purposes operates through the de-identification pipeline, not on raw identified profiles.
5.6. Feedback: RichOuty may use Feedback freely for Service Improvement Purposes including AI model training.
5.7. Evolution of Data Rights: RichOuty reserves the right to evolve its data use practices. Material expansions of the scope described in this Section 5 will be communicated with thirty (30) days' advance notice. Continued use constitutes acceptance.
5.8. Vested Platform Rights: Aggregated Event Intelligence, Derived Platform Data, Relationship Graph Data, and Usage Data generated prior to any amendment or termination are RichOuty Property and are not subject to deletion obligations.
5.9. Cross-Event Learning: Attendees and Organizers acknowledge that RichOuty's matching algorithms improve across the platform network — meaning insights from one event inform matching quality at future events. This cross-event learning operates exclusively at the level of de-identified signals and Relationship Graph patterns, not identifiable personal profiles.
6. Attendee Consent and Data Transparency
6.1. Organizers deploying the Service are responsible for ensuring Attendees provide valid consent for their data to be processed by RichOuty in connection with the event, in accordance with applicable data protection law. RichOuty provides a consent flow template; Organizers may use RichOuty's template or their own equivalent, subject to RichOuty's approval.
6.2. RichOuty provides Attendees with clear information about how their profile data is used for matching and how de-identified data contributes to platform improvement, via the platform interface and Privacy Policy.
6.3. Attendees may: (i) access their profile data; (ii) correct inaccuracies; (iii) request deletion of their identifiable profile post-event; (iv) opt out of future cross-event matching. Opting out does not affect matching at events where the Attendee has already registered and consented.
6.4. Attendees cannot opt out of the de-identified contribution to the Relationship Graph and Aggregated Event Intelligence, as this data is no longer individually identifiable and forms part of RichOuty Property.
7. Intellectual Property
7.1. RichOuty retains all Intellectual Property Rights in and to: the Service and underlying technology; AI matching models and algorithms; the Relationship Graph; Aggregated Event Intelligence; Derived Platform Data; Usage Data; Connection Data; and all improvements thereof.
7.2. Organizers retain ownership of their Event Data (event configuration, proprietary attendee lists they supply). Organizers grant RichOuty a non-exclusive, worldwide, royalty-free licence to process Event Data and Attendee Data to provide the Service and for Service Improvement Purposes as described in Section 5.
7.3. Attendees retain ownership of their personal profile information. Attendees grant RichOuty a non-exclusive, worldwide, royalty-free licence to process their profile data for matching purposes and Service Improvement Purposes as described in Section 5.
7.4. Feedback is licensed to RichOuty on a perpetual, irrevocable, royalty-free basis for any use including AI development.
7.5. RichOuty's KPI dashboard outputs, post-event analytics reports, and matching intelligence reports generated for Organizers are licensed to the Organizer for internal use only. They may not be sublicensed, published, or used in competitor benchmarking.
8. Security
8.1. RichOuty maintains security measures appropriate to the nature of event networking data, including: encryption of Attendee Data in transit and at rest; strict data isolation between event deployments; role-based access controls; audit-ready infrastructure; regular security assessments.
8.2. RichOuty will notify Organizers within seventy-two (72) hours of becoming aware of a Personal Data breach affecting their event's Attendee Data, in accordance with applicable law.
8.3. Organizers are responsible for the security of their own systems and the credentials they use to access the RichOuty platform.
9. Sponsor and Third-Party Data
9.1. Where Sponsors purchase matchmaking or lead generation services through an Organizer's RichOuty deployment, Sponsors receive access to matched Attendee profiles only to the extent consented to by Attendees and configured by the Organizer.
9.2. Sponsors do not acquire any rights in Attendee Data beyond the specific introductions facilitated through the platform. Sponsors may not export, aggregate, or commercially exploit Attendee Data obtained through the Service.
9.3. Sponsor-generated meeting and conversion data is Organizer Data for the purposes of the Organizer's relationship with RichOuty, and RichOuty Property for the purposes of Aggregated Event Intelligence and Derived Platform Data.
10. Warranties and Disclaimers
10.1. RichOuty warrants: it has the right to provide the Service; it will maintain appropriate security standards; it will comply with applicable data protection law.
10.2. THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. RICHOUTY DOES NOT WARRANT SPECIFIC NETWORKING OUTCOMES, CONVERSION RATES, BUSINESS RESULTS, OR ACCURACY OF AI MATCHING RECOMMENDATIONS. KPI DASHBOARD PROJECTIONS ARE ESTIMATES BASED ON PLATFORM DATA AND INTERNAL MODELS — THEY ARE NOT GUARANTEES.
11. Limitation of Liability
11.1. RICHOUTY IS NOT LIABLE FOR: (i) INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES; (ii) LOSS OF BUSINESS OPPORTUNITIES, DEALS, OR REVENUE CLAIMED TO RESULT FROM NETWORKING FACILITATED OR NOT FACILITATED BY THE SERVICE; (iii) LOSS OF DATA EXCEPT TO THE EXTENT DIRECTLY CAUSED BY RICHOUTY'S BREACH OF ITS SECURITY OBLIGATIONS.
11.2. RICHOUTY'S AGGREGATE LIABILITY FOR DIRECT DAMAGES IS LIMITED TO THE FEES PAID BY THE ORGANIZER FOR THE SPECIFIC EVENT OR, FOR ANNUAL CONTRACTS, THE ACV PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11.3. RICHOUTY IS NOT LIABLE FOR THE CONDUCT, COMMUNICATIONS, OR OUTCOMES OF INTERACTIONS BETWEEN ATTENDEES FACILITATED BY THE PLATFORM. ATTENDEES INTERACT AT THEIR OWN DISCRETION AND RISK.
12. Term and Termination
12.1. For Organizers: The Term is as specified in the Order Form, with automatic renewal unless sixty (60) days' written notice is provided. For per-event deployments, the Term ends at the conclusion of the event.
12.2. Either party may terminate for uncured material breach on thirty (30) days' written notice.
12.3. On termination: (i) Organizer access ceases; (ii) Event Data and identified Attendee Data are available for export for thirty (30) days; (iii) RichOuty deletes Event Data and identified Attendee Data from active systems within thirty (30) days of the export window's expiry; (iv) Relationship Graph Data, Aggregated Event Intelligence, Derived Platform Data, and Usage Data are RichOuty Property and are not deleted; (v) For Attendees who request deletion of their personal profile, RichOuty complies within statutory deadlines, noting that de-identified Relationship Graph contributions cannot be reversed.
13. Governing Law and Disputes
13.1. This Agreement is governed by UAE Federal Law and, where applicable, DIFC Law No. 5 of 2020.
13.2. Disputes are first escalated to senior management for thirty (30) days of good faith negotiation. Unresolved disputes are referred to binding arbitration administered by the Dubai International Arbitration Centre (DIAC), English language, Dubai seat.
13.3. Either party may seek urgent interim relief from the Dubai courts without waiving arbitration rights.
14. General
14.1. Entire agreement on subject matter. Invalid provisions severed. No assignment without consent except in M&A. Electronic signatures valid. English language controls. No third-party rights conferred.
